What Investors Look For in Finance Leaders

9 min read

When a private equity firm backs a business, the appointment — or validation — of the right Finance Director or CFO is one of the first and most critical decisions they make. The finance leader in a PE-backed business carries a burden of responsibility that goes well beyond financial reporting: they are a strategic partner to the CEO, a credible interface with the sponsor, and a central driver of the value creation plan. Understanding what sophisticated investors look for in finance leaders is essential for any senior finance professional who wants to operate in, or transition to, these high-stakes environments.

Commercial Partnership, Not Just Financial Stewardship

The most important shift in expectations for PE-backed finance leaders is from stewardship to commercial partnership. Investors do not primarily appoint CFOs to produce accurate accounts — they expect that as a baseline. What they are actually hiring for is a finance leader who actively drives commercial performance. This means a CFO or FD who: • Proactively identifies and quantifies revenue and margin improvement opportunities • Challenges commercial assumptions in the business plan with rigorous financial modelling • Understands the unit economics of the business model and can communicate them clearly to investors • Brings financial insight to pricing decisions, customer profitability, and channel strategy • Builds a finance function that serves the business rather than just reporting on it Investors consistently distinguish between finance leaders who 'present the numbers' and those who use the numbers to drive decisions. The latter are worth significantly more — in every sense.

Transaction and Deal Experience

Private equity investment cycles are built around transactions — initial acquisition, bolt-on acquisitions, and ultimately exit. Finance leaders who have navigated these processes are substantially more attractive to PE sponsors than those who have not. Most valued is direct experience of: • Buy-side or sell-side due diligence — leading the finance workstream in an M&A process • Preparing a business for sale — clean management accounts, data room management, EBITDA bridging • Post-merger integration — consolidating financial systems, reporting structures, and treasury arrangements • Debt management — working with lending banks, managing covenant compliance, and understanding leverage structures If you have not yet had significant transaction exposure, seeking out bolt-on acquisition activity within your current business, or positioning for a role in a business approaching its investment cycle, are both credible routes to building this experience.

Board Credibility and Investor Confidence

PE-backed finance leaders present to the board and to investors on a regular cycle. They must be comfortable being challenged on assumptions, defending positions under pressure, and communicating complex financial matters clearly to non-finance audiences. Investors assess this during the selection process — not just in formal interviews, but in how candidates present, how they respond to challenge, and how they communicate about their track record. Candidates who are technically strong but hesitant or defensive under challenge rarely succeed in PE environments. Board credibility is demonstrated through: • Concise, well-structured financial narrative — telling the story behind the numbers • Confidence under challenge — holding a position with evidence, while remaining genuinely open to new information • Proactive transparency — surfacing problems early rather than waiting to be asked • Relationship management with NEDs, sponsors, and lending banks

Financial Systems and Data Infrastructure

Modern PE-backed businesses run on data. Investors expect near real-time visibility of KPIs, forward-looking financial models, and a management information infrastructure that supports rapid, evidence-based decision making. Finance leaders who have built or significantly improved financial systems — implementing ERP platforms, building management reporting frameworks, or transitioning from founder-era reporting to institutional-grade MI — are highly valued. Particularly sought after is experience of: • ERP implementation or migration (NetSuite, Sage, SAP, Microsoft Dynamics) • Building 13-week rolling cash flow models • Implementing driver-based budgeting and forecasting • Creating investor reporting packs and board dashboards The ability to articulate what you have built — and the commercial impact it has had — is a powerful differentiator in CFO and FD search processes.

Culture Fit with the Investment Thesis

Every PE investment has a thesis — a specific narrative about how value will be created over the investment period. Finance leaders must genuinely align with that thesis, not just understand it intellectually. A growth equity investor backing an international expansion story needs a CFO who is energised by growth, comfortable with controlled ambiguity, and able to build finance capability in new markets quickly. A cost-focused turnaround investor needs a finance leader who is rigorous on cash, disciplined on process, and comfortable with difficult conversations. Investors assess cultural alignment carefully. Candidates who present the right technical credentials but whose energy, values, and leadership style are misaligned with the investment thesis are rarely successful — regardless of their CV strength. At Adderleys, we work with registered finance candidates to understand their genuine alignment with different investment contexts — and to position them for opportunities where both their capability and their character represent the best possible fit.
